{"id":21,"date":"2010-08-20T19:41:12","date_gmt":"2010-08-20T11:41:12","guid":{"rendered":"https:\/\/nbcgroup.wordpress.com\/2010\/08\/20\/company-limited-by-shares\/"},"modified":"2024-11-01T11:26:02","modified_gmt":"2024-11-01T03:26:02","slug":"information-about-registering-a-company-in-malaysia","status":"publish","type":"post","link":"https:\/\/www.nbc.com.my\/blog\/information-about-registering-a-company-in-malaysia\/","title":{"rendered":"General information about registering a company in Malaysia"},"content":{"rendered":"<p style=\"text-align: left;\"><span style=\"color: #000000;\">The requirements to register a local private limited company in Malaysia are:<\/span><\/p>\n<p style=\"text-align: left;\"><span style=\"color: #000000;\">(i) A minimum of two (2) subscribers to the shares of the company (section 14 of the CA);<\/span><\/p>\n<p style=\"text-align: left;\"><span style=\"color: #000000;\">(ii) A minimum of two (2) directors (section of the 122 CA); and<\/span><\/p>\n<p style=\"text-align: left;\"><span style=\"color: #000000;\">(iii) A company secretary <!--more-->who can either be:<\/span><\/p>\n<blockquote><p><span style=\"color: #000000;\">(a) an individual who is a member of a professional body prescribed by the Minister of Domestic Trade and Consumer Affairs; or<\/span><\/p><\/blockquote>\n<blockquote><p><span style=\"color: #000000;\">(b) an individual licensed by SSM.<\/span><\/p><\/blockquote>\n<p style=\"text-align: left;\"><span style=\"color: #000000;\">Both the director and company secretary shall have their principal or only place of residence within Malaysia (sections 122 and 139 of the CA respectively).<\/span><\/p>\n<p style=\"text-align: left;\"><span style=\"color: #000000;\">The most common type of company incorporated for purposes of carrying on business is a company limited by shares. A company limited by shares may be incorporated as a:<\/span><\/p>\n<ol style=\"text-align: left;\">\n<li><span style=\"color: #000000;\">Private Limited Company \u2013 identified through the words \u2018Sendirian Berhad\u2019 or abbreviation \u2018Sdn.
